Wholesale Distribution Terms & Conditions

These Wholesale Distribution Terms & Conditions (“Terms”) apply to all sales, deliveries, invoices, quotations, and agreements between Twenty One Barrels, LTD (“TOB”) and the purchasing retailer, permit holder, or buyer (“Buyer”).

By placing an order with TOB, Buyer agrees to these Terms.

 

1. Compliance With Ohio Law

All sales and deliveries are subject to applicable Ohio laws and regulations governing the distribution and sale of alcoholic beverages, including applicable provisions of the Ohio Revised Code and Ohio Administrative Code.

Buyer represents that it maintains all permits and licenses required to lawfully purchase and resell alcoholic beverages in the State of Ohio.

TOB reserves the right to refuse, limit, or cancel any order that may violate applicable law or regulatory requirements.

 

2. Pricing & Fees

All wholesale pricing, fees, and delivery charges are subject to change without notice unless otherwise agreed to in writing by TOB.

Prices do not include applicable taxes, deposits, or governmental fees unless specifically stated.

The following fees and minimums apply to wholesale orders:

 

Split-Case / Broken Case Fee

Orders requiring the breaking or splitting of standard packaged case quantities may be subject to:

  • $10.00 Split-Case / Broken Case Fee per affected case

This fee applies to mixed-case orders, partial-case orders, or orders requiring individual unit selection from standard packaged case quantities.

 

Less-Than Minimum Order Fee

Orders accepted below the applicable minimum order requirement may be subject to:

  • $50.00 Less-Than Minimum Order Fee

 

Delivery Fees

Additional delivery fees may be assessed for:

  • off-cycle deliveries,

  • expedited delivery requests,

  • special delivery accommodations,

  • or repeat delivery attempts caused by Buyer unavailability.

All pricing policies and fees shall be applied uniformly and in compliance with applicable Ohio liquor control laws.

 

3. Minimum Order Requirements

Unless otherwise approved in writing by TOB, the following minimum order requirements apply:

 

Darke, Miami, Mercer, Auglaize, Shelby, Montgomery, and Greene Counties

Minimum order of:

  • Two (2) cases, OR

  • One (1) 1/6 keg

Logan, Champaign, Clark, Butler, Warren, Hamilton, and Preble Counties

Minimum order value of:

  • $198.00

​

TOB reserves the right to decline orders below the stated minimums.

4. Payment Terms

All payments are due at the time of delivery unless otherwise approved in writing by TOB.

Accepted payment methods include:

  • Cash

  • Business Check

  • Approved Electronic Funds Transfer (EFT) platforms, including Fintech

Returned checks shall be subject to applicable bank fees and may result in suspension of future deliveries until the account is brought current.

TOB reserves the right to require certified funds, prepayment, or EFT payment for any account at its discretion.

Failure to remit payment upon delivery may result in:

  • suspension of future deliveries,

  • revocation of delivery privileges,

  • collection actions,

  • and recovery of reasonable collection costs permitted under Ohio law.

5. Delivery & Acceptance

Buyer is responsible for inspecting all products upon delivery.

Any shortages, damages, or discrepancies must be noted at the time of delivery and reported immediately to TOB.

Risk of loss transfers to Buyer upon delivery and acceptance of product.

Delivery dates and times are estimates only and may be impacted by weather, traffic, supply chain disruptions, equipment failure, labor shortages, or other circumstances beyond TOB’s reasonable control.

6. Product Availability

All products are subject to availability.

TOB reserves the right to allocate limited inventory among accounts at its discretion.

Vintage changes, packaging updates, label revisions, and normal production variations shall not constitute grounds for rejection.

7. Returns

Returns are subject to Ohio liquor control laws and TOB’s return policies.

TOB may accept returns only where permitted by Ohio law, including but not limited to:

  • damaged product,

  • defective product,

  • mis-shipped product,

  • or authorized quality-related issues.

Unauthorized returns will not be accepted.

8. Limitation of Liability

TOB shall not be liable for indirect, incidental, special, punitive, or consequential damages arising from the sale or delivery of products.

Buyer’s sole remedy for any valid claim shall be replacement of the affected product or refund of the purchase price paid for that product, at TOB’s discretion.

9. Governing Law

These Terms shall be governed by and construed under the laws of the State of Ohio.

Any legal action arising from these Terms shall be brought exclusively in a court of competent jurisdiction located within the State of Ohio.

10. Entire Agreement

These Terms constitute the entire agreement between TOB and Buyer regarding wholesale product sales unless otherwise agreed to in writing by TOB.

TOB reserves the right to modify these Terms at any time.

Twenty One Barrels seeks to provide locally handcrafted, award-winning hard ciders & wines in a atmosphere offering unique experience encouraging conversation while promoting responsible consumption.
 
Code of Conduct / Policy
  • The winery expects:
    • Responsible Consumption​
    • Respectful behavior to other guests and Twenty One Barrels staff​

  • Behaviors that would cause removal or refusal of service:​
    • Intoxication - Yes, we know we're a winery. Please enjoy the wine and cider responsibly.
    • False IDs
    • Use of illegal drugs
    • Damage to property
    • Theft
    • Rude language/profanity
    • Screaming 
    • Threatening or aggressive behavior
    • Violation of open container laws – please observe posted signs
    • Violation of posted smoking signs
    • NOTE TO BACHELORETTE PARTIES: We are a family-friendly business. Please do not wear or bring in inappropriate attire or decorations.​​​​

  • Absolutely no carry-in beverages are permitted on the property, or inside the building, including Alcoholic and non-Alcoholic beverages.

  • Our musicians play music that is licensed by either ASCAP or BMI.  We have obtained valid licenses from both ASCAP and BMI.  Our musicians are not permitted to perform music owned by SESAC or any other source for which we are not licensed

Local Pickup & Shipping
​
Local Pickup:
Orders placed online for Local Pickup will be processed through our e-commerce partner VINOSHIPPER and available for pickup at our facility located in Bradford, Ohio during normal business hours. Customers are required to pick up their orders within 15 days or order will be canceled and returned to stock with a restocking fee.

Shipping:
Twenty One Barrels ships from Bradford Ohio via UPS. Packages containing wine must be signed by someone over the age of 21. We are unable to ship to P.O. Box addresses. 
​
Where can we ship? We partner with VinoShipper for shipping. However there are still some states that do not allow shipping. Please check our Online Store for the latest updates on which states we can currently ship to.

Cancellations: All order cancellations must be cancelled before shipments leave the facility. All canceled orders will be
